Welcome to The Samuel Roberts Noble Foundation website (the “Site”). Please read the Terms of Use (the “Terms”), and Privacy Policy (https://noblefoundation.org/privacy-policy) before using the Site. By using the Site, you agree to the Terms. If you do not agree with any of the Terms, please do not use the Site.

The Samuel Roberts Noble Foundation (the “Foundation”) will post any changes to the Terms on this page, with a notice that the Terms have been updated on the Foundation website home page. You are responsible for periodically visiting the Foundation website and the Terms to check for any changes. The Foundation may change the Terms at any time without prior notice, and your continued use of the Site following any changes is an agreement by you to the change in Terms. The Foundation may change, suspend, discontinue, or remove any part of the Site at any time, without prior notice, including the availability of any Site feature, services, or content.

Patent, Trademark, and Copyright

Unless otherwise expressly noted, the Foundation is the owner of all right, title, and interest in the Site and its content, including without limitation, all patents, copyrights, trademarks, service marks, trade dress, trade names, and any and all other intellectual property, whether protectable or not and whether now known or hereafter existing, and all of the goodwill therein (collectively “Intellectual Property”). The Site is for your personal, noncommercial use only, with no transfer of title. You may not, for commercial purposes, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, sell, or make any other commercial use of any of the content obtained from the Site.

Site Usage

You agree to use the Site only for lawful purposes and only for your own personal, non-commercial use. No other use is permitted unless otherwise expressly permitted by the Foundation. You may not, for example, use the Site to transmit, post, download, distribute, copy, display publicly, store or destroy material (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, patent, trademark, trade secret or other intellectual property rights of others or violate the privacy or publicity or other personal rights of others, or (c) that is libelous, obscene, offensive, threatening, defamatory, abusive or hateful.

You are prohibited from violating or attempting to violate the security measures on the Site, including, without limitation:

  1. Using a false password or one belonging to another user or accessing data not intended for the user or logging into a server or account which such user is not authorized to access;
  2. Disclosing a password or permitting a third party to use a password or failing to notify the Foundation if a password is compromised;
  3. Attempting to probe, scan or test the vulnerability of the system or network or to breach security or authentication measures without proper authorization;
  4. Attempting to interfere with service to any user, host or network;
  5. Sending unsolicited e-mail, including promotions and/or advertising of products or services;
  6. Hijacking all or any part of the Site content, deleting or changing any Site content, deploying pop-up messages or advertising, running or displaying this Site or any Site content in frames or through similar means on another Site, or linking to the Site or any page within the Site, without the Foundation’s specific written permission.

The Foundation has absolute discretion to determine if any use violates these rules, and to act as the Foundation deems appropriate in the event of any violation. Violations of system or network security may result in civil or criminal liability. The Foundation will investigate occurrences which may involve such violations, and may involve, cooperate with, and make disclosures to, law enforcement authorities in identifying and prosecuting users who are involved in such violations.

The Site may contain links to third party websites. The Foundation is not responsible for the content found on any linked third party websites and do not endorse any third party website or their goods or services. If you use a third party website or visit a third party website from the Site, you will be subject to the terms of use that apply to such website.

Electronic Submissions

Users posting messages, information or materials on the Site are responsible for the content of the same. The Foundation has no responsibility for the content of any messages or information posted by users, or for the content of information of third parties on the Internet, even if accessed through the Site. However, the Foundation retains the right, which it may or may not exercise, in its sole discretion, to review, edit, or delete any such posted third party material which the Foundation deems, in its sole discretion, to be illegal, offensive, or otherwise inappropriate.

Any communication, messages, information or material you send to the Site, subject to the Foundation’s Privacy Policy, is public information which the Foundation may use for any purpose whatsoever. You acknowledge and agree that the Foundation may use any information you send or cause to be sent to the Site, including without limitation any ideas, concepts, know-how, or techniques and you hereby grant to the Foundation a perpetual, irrevocable, royalty-free license to use any of the foregoing for any purpose.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS, OR IMPLIED. THE FOUNDATION DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, WITH RESPECT TO THE SITES AND THE CONTENT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THIS DISCLAIMER APPLIES TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE SITE OR ITS CONTENT, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND ITS CONTENT.

Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Site in violation of the Terms.

Arbitration/Governing Law

The Terms shall be governed by the laws of the State of Oklahoma, without regard to conflicts of law principles. Any dispute arising under or relating to the Terms, its content, the use of the Site, or any services obtained using the Site, will be resolved exclusively by the state and federal courts of the State of Oklahoma.

Miscellaneous

The Terms and the Privacy Policy constitute the entire agreement between you and the Foundation regarding use of the Site. Any failure to enforce any provision of the Terms shall not constitute a waiver thereof or of any other provision. If any part of the Terms or the Privacy Policy is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. If you fail to comply with the Terms, the Foundation may terminate your access to the Site and revoke all rights granted to you under the Terms. Your obligations under the Terms will continue after such termination.
